Terms of Use and Contracting

1. Ownership of the service

El sitio web www.scoringmy.com and the ScoringMy digital tool (hereinafter, “the Platform”) are owned by PEOPLEXBRAND ACELERADORA S.L., with Tax ID (NIF) B-56994916, registered office at C/ Gregorio Benítez 10, 28043 Madrid, and contact email legal@scoringmy.com.

2. Purpose

These terms govern access to, use of and contracting for the services offered through the ScoringMy Platform, a tool that allows users and organisations to visualise and understand their digital professional presence, as well as to obtain personalised improvement recommendations. Use of ScoringMy implies express and unreserved acceptance of these Terms of Use and Contracting, as well as of the Privacy Policy and the Cookies Policy.

3. General description of the service

ScoringMy allows its users to:

• Analyse and visualise their digital professional presence from public LinkedIn information.
• Receive a “score” with improvement recommendations.
• Create a corporate account and view aggregated employee results.
• Make comparisons with public profiles of third parties or competitors for internal informational purposes.

4. Types of users

ScoringMy may be used by:

1. Individual users, who register in their own name and use the tool to improve their personal brand.
2. Company users, who register as individual users and subsequently declare that they act on behalf of their organisation within their account.
3. Invited employees, who are added to the system by their companies and who expressly accept their participation.

5. Registration and account creation

To access the Platform, the user must register by providing their full name and email address, either manually or via authentication with Google Connect. This data is used solely to create the account and manage access to the service. The user declares that the information provided is accurate and undertakes to keep it up to date. Registration is the same for all users and, afterwards, within their account, they may:

• Create their company profile.
• Upload employee email addresses to invite them to participate.
• Use ScoringMy in a personal capacity.

6. Corporate use and company creation

When a user decides to create a company within their account, they declare that they act on its behalf with sufficient authorisation. In doing so, they may invite employees or view aggregated data of their organisation.

• At this stage, theClient (company) acts as Data Controller.
• PeopleXBrandacts as Data Processor, limiting the use of the data to sending the relevant invitations.

7. Processing of employee data

When the user uploads employee email addresses for invitation:

• The emails will be usedsolely to send informational communications and request the consent of employees to take part in the programme.
• If the employeedoes not give their consent, the data will be deleted automatically.
• Until the employee accepts,no individualised analysis is carried out.

Once the employee consents and creates their account, PeopleXBrand pasa a ser Data Controller in respect of that personal data.

8. Analysis of public data of third parties and competitors

ScoringMy may incorporate data obtained manually from public LinkedIn profiles and other open sources. This processing is based on the legitimate interest of the Client for internal analysis and market evaluation purposes. PeopleXBrand guarantees that:

• No mass or automated scraping is carried out.
• No commercial databases are created.
• The reports generated are for internal and private use.

The CLIENT may not use competitor data for contact, advertising or commercial activities.

9. Service types

ScoringMy offers three types of access:

1. Free account:basic view of your own score.
2. Data account:access to aggregated employee data.
3. Data & Tips account:also includes recommendations and advanced metrics.

10. Financial terms

The services may be contracted:

• Via monthly subscription (through Stripe) or,
• Via direct contracting with invoicing issued by PeopleXBrand.

Payment will be made by bank transfer following invoice or another means agreed between the parties.

11. Intellectual property

All elements, software, graphics and methodology of ScoringMy are the exclusive property of PeopleXBrand Aceleradora S.L. The user has only a limited right of use.

12. Prohibited use, security and measures against unlawful use

12.1. Prohibited uses. The User undertakes not to use the Platform, the service or any of its features, directly or indirectly, for the following purposes, which are expressly prohibited: a) reverse engineering, decompiling, disassembling, deobfuscating, translating, extracting, modifying, translating into a high-level language or creating derivative works from the software, code, algorithms, models, APIs, or technical content that make up the Platform; b) attempting to access, copy, export, reproduce, distribute or exploit the source code, internal processes, databases, data models or technical documentation of the Platform without the express written authorisation of PeopleXBrand; c) introducing, uploading, distributing or executing viruses, trojans, bots, worms, ransomware, logic bombs, backdoors, scripts or other programs or routines capable of damaging, intercepting, spying on, accessing or disrupting the operation of the Platform or third-party systems; d) circumventing, disabling or breaching technical security measures, access control systems, intellectual property protection, or fraud-prevention mechanisms implemented in the Platform; e) carrying out penetration testing, automated scanning, mass scraping, fuzzing or other intrusion techniques on the Platform or its infrastructure without the prior, written and specific authorisation of PeopleXBrand; f) using the information obtained through the Platform for unlawful, fraudulent, unauthorised commercial activities, harassment, or to infringe the rights of third parties; g) sharing access credentials, or selling, renting or transferring access to the Platform to third parties without the corresponding contractual authorisation. 12.2. Prohibition of reverse engineering and technical analysis. The User accepts and acknowledges that they are prohibited, at all times and under any circumstances, from attempting reverse engineering, direct or indirect engineering, reverse engineering by means of tools, devices or manual or automated procedures, or any other method aimed at discovering, extracting, reconstructing or reproducing the code, architecture, algorithms, APIs, technical documentation, or any trade secret of PeopleXBrand. 12.3. Security, integrity and incident notification. a) The User must adopt ordinary and diligent security measures to protect their credentials and access to the Platform. b) If any vulnerability, misuse or security incident is detected (including, without limitation, intrusion attempts, loss of control of credentials, or signs of malicious code execution), the User must notify PeopleXBrand immediately at the address legal@scoringmy.com with the maximum available information about the incident (date, time, description, relevant logs), and cooperate in good faith with the investigations and containment measures adopted. Failure to notify will aggravate the User’s liability for resulting damages. 12.4. Mitigation and suspension rights. PeopleXBrand is entitled, without prior notice and without any liability to the User for indirect damages, to: a) block or temporarily or permanently suspend access accounts and/or connections that, in PeopleXBrand’s reasonable judgement, are carrying out prohibited activities or pose a risk to the security of the Platform; b) limit, degrade or interrupt services or features where there are reasonable indications of misuse, attacks or exploitation of vulnerabilities; c) take the legal and technical actions necessary to protect its rights, including actions for data recovery, breach remediation and cooperation with the competent authorities. 12.5. Cooperation, compensation and costs. The User shall be liable for and shall indemnify and hold PeopleXBrand harmless against any claims, damages, losses, costs and expenses (including reasonable legal fees and court costs) arising from: (i) the User’s misuse of the Platform; (ii) the execution of malicious software that the User introduced, directed or permitted; (iii) reverse engineering or acts breaching security; or (iv) any breach of these Terms. The User shall also bear the reasonable technical costs required to remedy incidents caused by their conduct. 12.6. Injunctive remedies and criminal measures. The User acknowledges that breach of the obligations in this section causes irreparable harm to PeopleXBrand, and consents that, in addition to any applicable compensatory actions, PeopleXBrand may seek precautionary or interim measures (including suspension of access, requests to service providers and judicial or administrative actions) and report the facts to the competent authorities for the prosecution of computer crimes where there are indications of criminal activity. 12.7. Responsible disclosure of vulnerabilities (informal bug bounty). PeopleXBrand values the responsible disclosure of vulnerabilities. If a third party detects a vulnerability, they must refrain from exploiting it and report it immediately to legal@scoringmy.com, providing sufficient information for its replication and correction. Any exploitation, public disclosure or attempt to obtain financial gain without prior agreement will be considered misuse and will give rise to the actions provided for in these Terms. 12.8. Limitation of liability for acts of third parties. PeopleXBrand shall not be liable for indirect damages, loss of profit or data loss arising from external attacks, known or unknown vulnerabilities, or the actions of malicious third parties, unless caused by wilful misconduct or gross negligence on the part of PeopleXBrand. In any event, PeopleXBrand’s total liability on all counts shall in no case exceed the amounts actually paid by the Client in the last twelve (12) months for the contracted services, except in cases of wilful misconduct or gross negligence. 12.9. Preservation of evidence. The User agrees that PeopleXBrand may collect, retain and use logs, forensic traces and other technical information necessary to investigate potential security breaches and for use in administrative or judicial proceedings. The User expressly consents to the transfer of such information to the competent authorities when required by law.

13. Non-affiliation with LinkedIn and Third-Party Intellectual Property

13.1. ScoringMy is a data analysis and insights tool that is independent. The service is not affiliated with, associated with, authorised, endorsed, or sponsored by LinkedIn Corporation or any of its subsidiaries or affiliates. 13.2. The trademark, logo and trade name LinkedIn are the exclusive property of LinkedIn Corporation. 13.3. The use of the LinkedIn trademark on the Platform and in communication materials is solely for descriptive purposes, to identify the source of the analysed data, in compliance with the principle of referential use. 13.4. The Client and the user acknowledge that access to and use of public LinkedIn information through ScoringMy must comply with that platform’s terms of use.

14. Limitation of liability

PeopleXBrand does not guarantee the accuracy or currency of the public information analysed. It accepts no liability for any misuse the Client or user may make of the reports.

15. Personal data protection

The processing of personal data is governed by the Privacy Policy and the Data Processing Agreement (DPA) where applicable.

16. Governing law and jurisdiction

These terms are governed by Spanish law. Any dispute shall be submitted to the Courts and Tribunals of Madrid, unless a mandatory rule provides otherwise.
